[FWDLK] Soundproofing/undercoating

I have been planning on using POR 15 to seal the under side of the body and
over coat it with Herculiner roll on polyurethane bed liner.  I plan on
spraying a semi gloss gray paint over the black bed liner to give a pseudo
original look.  My intent was to prevent further rot and get major sound
deadening at the same time.  My body is off of the frame so 100% coverage is
possible.  Does anyone have an opinion on this approach?  Should I use the
POR 15 and Herculiner on the inside floor as well?
